Terms of Service

Welcome to Sidona. These Terms of Service govern your access to and use of our AI-Powered Procurement Intelligence Platform.

Important Notice

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE SIDONA PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sidona Inc. ("Sidona," "we," "us," or "our"), a corporation incorporated under the laws of Canada, governing your access to and use of the Sidona procurement intelligence platform, including all associated services, features, content, and software (collectively, the "Platform").

1. Definitions

For the purposes of these Terms, the following definitions apply:

"Platform" means the Sidona web application, APIs, data aggregation engine, AI filtering system, AI Search, and all related tools and services.

"Data Aggregation Service" means the automated scanning, collection, parsing, normalization, and consolidation of publicly available procurement data from government portals, tender boards, and open data sources.

"AI Filtering" means the large language model (LLM)-based intelligent categorization, relevance scoring, and filtering of aggregated procurement data.

"AI Search" means the natural language search feature that allows Users to query the Platform using conversational or keyword-based inputs, powered by artificial intelligence.

"Content" means all data, results, reports, analyses, text, summaries, and outputs generated by or made available through the Platform.

"Subscription" means a paid plan granting access to one or more features of the Platform.

"Account" means a registered user account created to access the Platform.

"Basic" and "Premium" mean the two self-serve Subscription tiers described in Section 5.

"Company Documents" means files you upload to the Platform under a Premium Subscription, such as certificates, licences, insurance certificates, bonding letters, capability statements and financial statements, and all text, data and facts extracted from them.

"Organization" means a company, firm, or entity that has subscribed to the Platform on behalf of its employees or members.

2. Acceptance of Terms

By creating an Account, clicking "I Agree," accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are entering into these Terms on behalf of an Organization, you represent and warrant that you have the legal authority to bind that Organization. In such case, "you" and "your" refer to the Organization.

We record the version of these Terms and of our Privacy Policy that you accept, together with the date, time and IP address of your acceptance. You accept them when you complete onboarding or join an Organization. Uploading Company Documents also requires a separate, specific consent described in Section 9.

We may modify these Terms from time to time. If we make a material change, we will notify you by email or a prominent notice on the Platform. You will be asked to accept the updated Terms before you continue using the paid features of the Platform. Non-material changes, such as clarifications or corrections, take effect when published.

3. Description of the Platform

3.1 Data Aggregation

The Platform automatically collects and aggregates publicly available procurement opportunities, tender notices, RFPs, RFQs, grants, and related data from government and public sector sources. This includes web scanning, RSS feed parsing, and API integrations with open data portals. Sidona does not guarantee the completeness, accuracy, or timeliness of aggregated data.

3.2 AI-Powered Filtering

The Platform employs large language models (LLMs) to intelligently filter, categorize, score, and summarize aggregated procurement data based on your profile, preferences, and industry classification. AI-generated outputs are probabilistic and should be treated as a decision-support tool, not as definitive legal or commercial advice.

3.3 AI Search

The AI Search feature enables Users to perform natural language queries against the aggregated procurement database. Results are ranked by AI-assessed relevance and may include summaries, matched excerpts, and recommended opportunities. AI Search outputs are generated dynamically and may not reflect the most current data at the time of query.

3.4 Availability and Downtime

Sidona will use commercially reasonable efforts to maintain Platform availability. However, you acknowledge and agree that:

  • The Platform may experience scheduled or unscheduled downtime due to maintenance, infrastructure upgrades, third-party service outages, cyberattacks, or other technical issues.
  • Sidona does not guarantee any specific uptime percentage or service level unless expressly set out in a separate written Service Level Agreement (SLA) with your Organization.
  • Sidona will endeavour to provide advance notice of planned maintenance windows via email or in-app notification, but is not obligated to do so.
  • During periods of downtime, access to procurement data, AI Search, and AI Filtering features may be partially or fully unavailable.

SIDONA SHALL NOT BE LIABLE FOR ANY LOSS, MISSED OPPORTUNITY, FINANCIAL HARM, OR BUSINESS DISRUPTION CAUSED BY PLATFORM DOWNTIME, WHETHER SCHEDULED OR UNSCHEDULED.

Subscription fees are not subject to automatic refund or credit due to downtime unless Sidona has expressly agreed to uptime guarantees in a separate written SLA with your Organization.

4. Account Registration and Security

To access the Platform, you must create an Account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your Account, whether or not authorized.
  • Promptly notifying Sidona of any unauthorized access or security breach via our Contact Page.

Sidona reserves the right to suspend or terminate Accounts that provide false information, violate these Terms, or engage in any activity that poses a risk to the Platform or other users.

5. Subscriptions, Billing, and Payments

5.1 Plans and Tiers

Access to certain Platform features requires a paid Subscription. Self-serve Subscriptions come in two tiers:

  • Basic includes contract search and aggregation, KYC/KYB profile matching, saved contracts, AI document Q&A and match digests.
  • Premium includes everything in Basic, plus the ability to upload Company Documents during onboarding or at any time afterwards, and to have them used to improve your contract matching (Section 9). Premium is priced at 20% more than Basic for the same billing interval.

Current pricing and included features are shown on the Sidona pricing page and may be updated from time to time. Free trials, whether self-serve or granted by Sidona, include Premium features unless we tell you otherwise when the trial is offered. Members of an Organization receive the tier of the Organization's Subscription.

5.2 Billing

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are in Canadian Dollars (CAD) unless otherwise stated. By providing payment information, you authorize Sidona or its payment processor to charge you on the applicable billing cycle.

5.3 Taxes

Quoted subscription fees are exclusive of applicable sales taxes (including harmonized sales tax (HST), goods and services tax (GST), and provincial sales tax (PST), as applicable). Where required by law, applicable taxes are calculated and collected at checkout through our payment processor (Stripe). You are responsible for any taxes not collected at checkout that apply to your purchase.

5.4 Cancellations and Refunds

You may cancel your Subscription at any time. Cancellations take effect at the end of the current billing period — you retain access until that date. To cancel:

  • Open Dashboard → Settings and select Manage billing (Stripe Customer Portal), or
  • Email [email protected] from the address on your account with a cancellation request.

Sidona does not provide refunds for partial billing periods, except where required by applicable law. If you subscribed through a Stripe Payment Link, you may also use the receipt or customer portal link provided by Stripe.

5.5 Changing Tiers

You can upgrade from Basic to Premium or downgrade from Premium to Basic at any time in Dashboard → Settings. Changes take effect immediately. Our payment processor prorates the price difference for the rest of your current billing period. When you downgrade, your Company Documents are permanently deleted, as described in Section 9.6. If you change tier during a free trial, Premium features stay available until the trial ends.

5.6 Product Demos

Sidona may offer live product demonstrations at its discretion. Demos are for evaluation purposes and do not constitute a Subscription unless you separately purchase a paid plan. Demo access, scope, and duration are determined by Sidona and may be modified or withdrawn at any time without liability.

6. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must NOT:

  • Use the Platform to scan, harvest, copy, or redistribute Content in bulk without Sidona's express written permission.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying models of the Platform.
  • Use automated bots, crawlers, or scripts to access the Platform beyond your authorized usage tier.
  • Circumvent, disable, or interfere with security features, rate limits, or access controls.
  • Use the Platform for any unlawful purpose, including but not limited to fraud, money laundering, or violating export control laws.
  • Share access credentials or allow multiple individuals to share a single-user Account.
  • Upload or transmit malicious code, viruses, or any content that could harm the Platform or other users.
  • Use AI Search or AI Filtering outputs to generate misleading, deceptive, or fraudulent procurement submissions.
  • Resell, sublicense, or commercially redistribute Platform outputs without a separate written reseller agreement.

Sidona reserves the right to investigate suspected violations and, where appropriate, suspend or terminate access, report violations to authorities, and pursue legal remedies.

7. Intellectual Property

7.1 Sidona IP

The Platform, including its software, AI models, algorithms, designs, trademarks, and proprietary methodologies, is owned by Sidona Inc. and its licensors. Nothing in these Terms transfers any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes during the term of your Subscription.

7.2 Aggregated Data

Public procurement data aggregated by the Platform originates from government and public sector sources. Sidona does not claim ownership of underlying source data. However, the selection, compilation, arrangement, normalization, and AI-enhanced presentation of such data constitute original works owned by Sidona.

7.3 User Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant Sidona a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.

7.4 User Data

You retain ownership of any data, content, or information you submit to the Platform ("User Data"). By submitting User Data, you grant Sidona a limited license to process and use it solely to provide the Platform services. Sidona will handle User Data in accordance with our Privacy Policy. Company Documents are User Data that is also subject to the specific terms in Section 9.

8. AI Features — Important Disclaimers

Sidona's AI Filtering and AI Search features are powered by probabilistic machine learning models. You acknowledge and agree that:

  • AI-generated outputs, including relevance scores, summaries, and search results, may contain errors, omissions, or inaccuracies.
  • AI outputs do not constitute legal, financial, or professional advice.
  • You are solely responsible for verifying the accuracy of any AI-generated output before relying on it for business, legal, or commercial decisions.
  • AI models may produce inconsistent results for similar queries due to the probabilistic nature of language models.
  • Sidona does not guarantee that AI Search results are complete or that all relevant opportunities will be surfaced.
  • AI features may be updated, retrained, or modified at any time, which may affect output behavior.

SIDONA EXPRESSLY DISCLAIMS ALL LIABILITY FOR LOSSES, DAMAGES, OR MISSED OPPORTUNITIES ARISING FROM RELIANCE ON AI-GENERATED OUTPUTS.

9. Company Documents (Premium)

In short: if you upload Company Documents, you let Sidona store them encrypted, read them (including with AI language models), and use what they say to match you to contracts. We use them only to provide the Platform to you. We do not sell them, share them with other customers, or use them to train AI models. They are permanently deleted when you delete them, withdraw consent, or stop having Premium.

9.1 Separate Consent

Uploading Company Documents is optional and available only with a Premium Subscription or a trial that includes Premium. Before your first upload, we ask you to give a separate consent to the processing described in this Section. We record the version and the date of that consent. You may withdraw it at any time in your profile; withdrawing it deletes your Company Documents as set out in Section 9.6.

9.2 Licence You Grant Us

You keep all rights in your Company Documents. By uploading them, you grant Sidona a limited, non-exclusive, non-transferable, royalty-free licence, for as long as the documents are stored on the Platform, to:

  • store, host, copy, back up and encrypt them;
  • process them, including extracting text and data, optical character recognition (OCR) and summarizing their contents;
  • submit them, and data extracted from them, to large language models (LLMs) and other AI services operated by our subprocessors (currently Google Gemini, via Google's paid API), to identify your certifications, licences, insurance, bonding capacity, capabilities and past projects;
  • use the extracted information to build your matching profile, score and rank contracts for you, explain why a contract matches, and flag requirements you may not meet; and
  • show the documents and extracted information to you and, for an Organization's documents, to the members of your Organization.

9.3 What We Will Not Do

We use Company Documents only to provide the Platform to you and your Organization. We do not sell them. We do not disclose them to other customers or to government buyers. We do not use them, or data extracted from them, to train our own or third-party AI models. Sidona staff cannot open them through the Platform. Our subprocessors may process them only on our instructions and are contractually prohibited from using them to train their models. Under Google's terms for its paid Gemini API (the Gemini API Additional Terms of Service and Gemini API Usage Policies), Google may keep what we send it, including Company Document content and the data extracted from it, for up to 55 days solely to detect and prevent abuse of its services, after which it is deleted. That copy is outside our control, so it may outlast your deletion of a document on the Platform by up to 55 days. We may disclose Company Documents if the law requires it, and where we lawfully can, we will notify you first.

9.4 How We Protect Them

We treat Company Documents as highly sensitive. Each document is encrypted at rest with its own AES-256 key, and that key is itself encrypted by a key held in Google Cloud Key Management Service. The documents are stored in a dedicated, non-public storage location in Google Cloud. File names and extracted data are encrypted as well. Access is limited to your Account (and, for an Organization's documents, its members), and every upload, download and deletion is logged in an access history you can view. No security measure is perfect, but Section 12 (Security and Data Breach) applies to Company Documents in full.

9.5 Your Responsibilities

You represent that you have the right to upload each Company Document and to grant the licence above. You agree not to upload classified, controlled or export-restricted information, or documents containing other people's personal information beyond what the document reasonably needs (for example, remove social insurance numbers, banking details and health information). Facts extracted by AI may be incomplete or wrong. You can review and correct them, and matches remain subject to Section 8. Sidona does not verify the authenticity or validity of your credentials, and a match is not confirmation that you are eligible to bid.

9.6 Retention and Deletion

We keep Company Documents only while you have Premium. They, and all data extracted from them, are permanently deleted:

  • immediately, when you delete a document;
  • immediately, when you withdraw your document-processing consent;
  • immediately, when you downgrade from Premium to Basic;
  • when your Premium Subscription ends because it is cancelled, expires or is not renewed, or when a trial ends without a Premium Subscription; and
  • when your Account or your Organization is deleted.

If a payment fails, we pause the use of your documents rather than delete them, until the payment is resolved or the Subscription ends. Deletion destroys the encryption key for each document, so any copy that remains in encrypted backups can no longer be read and expires on our backup schedule. Deleted Company Documents cannot be recovered. Keep your own copies. Records of uploads and deletions in the access history contain no document content and are kept for security and audit purposes.

10. Data Sources and Third-Party Content

The Platform aggregates data from third-party public sources including government procurement portals, open data repositories, and tender boards. Sidona:

  • Does not warrant that aggregated data is accurate, complete, current, or error-free.
  • Is not responsible for the content, policies, or practices of third-party data sources.
  • May be required to remove or restrict access to specific data at the request of source authorities.
  • Makes no representations regarding the availability of any specific procurement opportunity listed on the Platform.

You acknowledge that data sourced from third parties is subject to those parties' terms, and Sidona's aggregation of such data does not grant you any rights beyond what is permitted by the applicable source.

11. Privacy, Data Protection, and Ontario Data Standards

11.1 Privacy Policy

Sidona's collection and use of personal information is governed by our Privacy Policy, available at sidona.io/privacy. By using the Platform, you consent to the practices described therein.

11.2 Applicable Canadian and Ontario Privacy Laws

Sidona is committed to full compliance with all applicable Canadian and Ontario privacy and data protection laws, including:

  • The Personal Information Protection and Electronic Documents Act (PIPEDA), governing the collection, use, and disclosure of personal information in the course of commercial activities.
  • The Freedom of Information and Protection of Privacy Act (FIPPA) and the Municipal Freedom of Information and Protection of Privacy Act (MFIPPA), as applicable to data interactions with Ontario public sector entities.
  • Ontario's Digital and Data Directive and applicable Treasury Board Secretariat data standards, governing the responsible use of data in digital government services.
  • The Accessibility for Ontarians with Disabilities Act (AODA), with respect to digital service delivery standards.

11.3 Data Residency

Sidona hosts primary application databases and stored tender documents in cloud regions in the United States. Authentication, payment processing, transactional email, and AI inference also involve subprocessors that process data in the United States or other jurisdictions. We take reasonable steps to ensure such providers maintain safeguards consistent with Canadian privacy law. Details are in our Privacy Policy. By using the Platform, you consent to such processing as described there.

11.4 Data Minimization and Retention

Sidona collects only the personal information reasonably necessary to provide the Platform services. Personal data is retained only for as long as required to fulfill the purposes for which it was collected, or as required by applicable law. Upon Account deletion or termination, personal data will be deleted or anonymized within a commercially reasonable timeframe, subject to legal retention obligations. Company Documents follow the shorter deletion rules in Section 9.6.

11.5 Customer Content & AI

Sidona does not use your identifiable tender documents, chat transcripts, KYC profile content, or Company Documents to train public or shared foundation models. AI features are provided through Google Gemini's paid API, under which Google does not use our prompts or its responses to improve its products, but may keep them for up to 55 days solely to detect and prevent abuse (see the Gemini API Additional Terms of Service and Gemini API Usage Policies). We may use anonymized, aggregated usage metrics (not content) to improve Platform reliability and features. AI outputs are probabilistic and provided for decision support only.

12. Security and Data Breach

12.1 Security Measures

Sidona implements commercially reasonable administrative, technical, and physical safeguards designed to protect your data from unauthorized access, disclosure, alteration, and destruction. These measures include, but are not limited to:

  • Encryption of data in transit using industry-standard TLS protocols.
  • Role-based access controls limiting internal access to personal data on a need-to-know basis.
  • Regular security assessments and vulnerability scanning of Platform infrastructure.
  • Logging and monitoring of access to sensitive data and systems.

Notwithstanding the foregoing, no method of electronic transmission or data storage is completely secure. Sidona cannot guarantee absolute security of data processed through or stored on the Platform.

12.2 No Liability for Data Breaches

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIDONA SHALL NOT BE LIABLE FOR ANY UNAUTHORIZED ACCESS TO, DISCLOSURE OF, ALTERATION OF, OR DESTRUCTION OF YOUR DATA RESULTING FROM A SECURITY BREACH, CYBERATTACK, HACKING INCIDENT, RANSOMWARE, SOCIAL ENGINEERING, OR ANY OTHER MALICIOUS OR UNAUTHORIZED THIRD-PARTY ACT, WHERE SIDONA HAS IMPLEMENTED COMMERCIALLY REASONABLE SECURITY SAFEGUARDS.

This limitation applies whether the breach results from: (a) vulnerabilities in third-party software or infrastructure used by Sidona; (b) actions of malicious third parties outside Sidona's reasonable control; (c) your failure to maintain the security of your Account credentials; or (d) zero-day exploits or previously unknown security vulnerabilities.

12.3 Breach Notification

In the event Sidona becomes aware of a data breach that affects your personal information, Sidona will notify affected users in accordance with applicable Canadian and Ontario breach notification requirements, including those under PIPEDA and the Ontario breach notification guidelines. Notification will be provided within the timeframes required by law, using the contact information associated with your Account.

12.4 Your Security Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your Account credentials and not sharing them with unauthorized individuals.
  • Using strong, unique passwords and enabling multi-factor authentication where available.
  • Promptly reporting any suspected unauthorized access or security incident via our Contact Page.
  • Ensuring that any devices used to access the Platform are protected by up-to-date security software.

Sidona shall not be liable for any breach or data loss arising from your failure to maintain appropriate security practices for your Account.

13. Confidentiality

Each party agrees to keep the other party's confidential information strictly confidential and not to disclose it to third parties without prior written consent. Confidential information includes, but is not limited to, proprietary technology, business strategies, pricing, and non-public Platform features.

This obligation does not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) is rightfully received from a third party without restriction; or (c) is required to be disclosed by law or court order, provided the receiving party gives reasonable prior notice to the disclosing party.

14. Disclaimers of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, DATA ACCURACY, OR UNINTERRUPTED ACCESS.

SIDONA DOES NOT WARRANT THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (B) THE PLATFORM WILL BE AVAILABLE AT ALL TIMES OR BE ERROR-FREE; (C) AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR (D) ANY DEFECTS OR ERRORS WILL BE CORRECTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIDONA INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, business opportunities, or goodwill.
  • Damages arising from reliance on AI-generated outputs, including missed procurement opportunities.
  • Inaccuracies, gaps, or errors in aggregated third-party data.
  • Unauthorized access to your Account or data.
  • Service interruptions, downtime, or data loss.

IN NO EVENT SHALL SIDONA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SIDONA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

16. Indemnification

You agree to indemnify, defend, and hold harmless Sidona Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform in violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your infringement of any third-party rights.
  • Any misrepresentation made by you in connection with the Platform.
  • Your reliance on AI-generated outputs in submitting procurement bids or tenders.

17. Term and Termination

17.1 Term

These Terms are effective upon your first use of the Platform and remain in effect until terminated.

17.2 Termination by You

You may terminate your Account at any time by cancelling your Subscription and deleting your Account through the Platform settings. Termination does not entitle you to any refund except as required by law.

17.3 Termination by Sidona

Sidona may suspend or terminate your access immediately, with or without notice, if you: (a) breach these Terms; (b) engage in fraudulent or abusive activity; (c) fail to pay fees when due; or (d) pose a risk to the Platform or other users.

17.4 Effect of Termination

Upon termination, your right to access the Platform ceases. Sidona may retain certain data as required by law or for legitimate business purposes, except Company Documents, which are deleted as described in Section 9.6. Sections 7, 8, 9, 10, 12, 13, 14, 15, 16, 18, 19, and 20 survive termination.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

18.2 Dispute Resolution

In the event of a dispute, the parties agree to first attempt in good faith to resolve the matter through informal negotiation by providing written notice to the other party. If the dispute is not resolved within thirty (30) days, either party may pursue formal legal proceedings.

18.3 Jurisdiction

The parties submit to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any disputes arising under these Terms.

18.4 Class Action Waiver

To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Sidona.

19. General Provisions

19.1 Entire Agreement: These Terms, together with the Privacy Policy and any applicable Order Forms or Subscription agreements, constitute the entire agreement between you and Sidona regarding the Platform and supersede all prior agreements and understandings.

19.2 Severability: If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

19.3 Waiver: Sidona's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

19.4 Assignment: You may not assign or transfer your rights or obligations under these Terms without Sidona's prior written consent. Sidona may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
